Terms of Business
These General Terms and Conditions (GTC) apply to all business relationships between EControl-Glas GmbH & Co. KG (hereinafter "we" or "EControl-Glas") and our customers (hereinafter "customer"). These GTC apply exclusively; conflicting or deviating terms and conditions of the customer are not recognized unless we have expressly agreed to their validity in writing.
Our offers are subject to change and non-binding unless they are expressly designated as binding or contain a specific acceptance period. Orders by the customer are binding offers for conclusion of a contract. We can accept this offer within two weeks of receipt.
All prices are quoted in Euro and are net prices plus the applicable statutory value added tax. Additional costs such as packaging, shipping, customs duties, taxes or fees are borne by the customer unless otherwise agreed.
Invoices are due for payment within 30 days of the invoice date without deduction, unless otherwise agreed in writing. In case of default, we charge default interest at the statutory rate.
Delivery dates and periods are approximate unless they have been expressly promised as binding. The delivery period begins with the dispatch of the order confirmation, but not before all technical details have been clarified and any advance payment has been received.
In case of force majeure, labor disputes, operational disruptions, or other unforeseeable circumstances for which we are not responsible, delivery and performance periods are extended accordingly.
We retain title to the delivered goods until full payment of all claims arising from the business relationship. The customer is entitled to resell the goods in the ordinary course of business as long as he is not in default of payment.
We provide warranty for material defects and defects of title in accordance with the statutory provisions. The warranty period for delivered goods is 24 months from delivery.
Our liability is limited to intent and gross negligence. For slight negligence, we are only liable for the breach of essential contractual obligations (cardinal obligations). In this case, liability is limited to the foreseeable damage typical for the contract.
Technical data, illustrations, and descriptions in our documentation are approximate values and are not guaranteed unless expressly designated as binding. We reserve the right to make technical changes that serve to improve the product.
If installation or commissioning services are included in the scope of delivery, the customer must provide the necessary prerequisites (power supply, suitable installation conditions, access, etc.) at his own expense.
We process personal data in accordance with the applicable data protection regulations. Details can be found in our privacy policy.
The law of the Federal Republic of Germany applies to all legal relationships between us and the customer, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Plauen, Germany.
Should individual provisions of these GTC be or become invalid, this does not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
